Agreement and eligibility

These Terms govern your access to the Magic AI Labs website, demonstrations, browser and telephone AI experiences, scheduling tools, chat, and request-for-quote workflows (the “Services”). By accessing a Service, submitting information, or selecting a control that states you agree, you accept these Terms and our Privacy Policy. If you do not agree, do not use the interactive Services or submit information.

You must be at least 18 years old and able to form a binding agreement. If you use the Services for a company or another person, you represent that you are authorized to act for them and bind them to these Terms.

AI disclosure and human review

Ava and other identified Magic AI Labs assistants are artificial-intelligence systems, not people. They may explain services, qualify a request, collect preliminary requirements, schedule an available meeting, or prepare an RFQ for review. AI systems are probabilistic and can misunderstand, omit, or generate incorrect information.

An AI assistant has no authority to bind Magic AI Labs, approve engineering, make guarantees, accept contract terms, waive rights, or promise pricing, delivery dates, outcomes, transfers, or human availability. Material commitments require confirmation through the applicable system and, when appropriate, a signed written agreement or human approval.

Quotes, scheduling, and requested actions

An RFQ, estimate request, recommendation, draft scope, or range created through a Service is preliminary information—not a binding offer, final price, engineering approval, warranty, or commitment to perform services. A proposal becomes binding only if an authorized Magic AI Labs representative and the customer enter a signed agreement that expressly says it is binding.

A meeting, callback request, CRM record, or RFQ is complete only when the applicable system reports success. Availability can change before confirmation. You are responsible for reviewing confirmation details and promptly reporting errors.

Your information and communication choices

You retain ownership of information you submit. You give Magic AI Labs and its service providers a limited, nonexclusive right to host, transmit, process, reproduce, and use that information only as reasonably necessary to operate, secure, and improve the Services, complete actions you request, enforce these Terms, and comply with law.

You represent that your information is accurate, lawful, and yours to provide. Do not submit passwords, authentication codes, payment-card data, Social Security numbers, protected health information, trade secrets, or other highly sensitive information through a general form, chat, or voice conversation. Saving a callback number does not authorize text messages. Transactional email, transactional text, and marketing choices remain separate as described in the Notice at Collection.

Prohibited use

• Do not attempt to bypass access controls, extract credentials, interfere with service operation, or probe systems without written authorization.
• Do not use the Services to violate law, infringe rights, impersonate another person, deceive or harass others, transmit malicious material, or submit information you are not authorized to provide.
• Do not scrape, bulk-extract, reverse engineer, benchmark for a competing service, resell, sublicense, or use automated means to access the Services except as expressly authorized in writing or permitted by law.
• Do not use AI output to make decisions about another person's employment, housing, credit, insurance, education, health, legal rights, or access to essential services without qualified human review and all legally required safeguards.
• Do not rely on the services for emergency response or decisions where delay or error could cause injury, financial loss, or legal harm.

No professional or emergency service

The public Services do not provide legal, medical, tax, financial, engineering, cybersecurity, safety, or other licensed professional advice. They are not an emergency service. Call 911 or the appropriate emergency provider when immediate assistance is required.

Third-party services

Hosting, communications, calendar, CRM, AI, and other infrastructure may be provided by third parties. Their terms and privacy practices may apply when they process an interaction. Magic AI Labs is not responsible for third-party services it does not control and does not promise their uninterrupted availability. Links to third-party sites do not imply endorsement.

Intellectual property

The Services, branding, software, interfaces, workflows, prompts, and original materials are owned by or licensed to Magic AI Labs and protected by applicable intellectual-property laws. These Terms give you a limited, revocable, nontransferable right to use the public Services for their intended purpose. No ownership transfers to you. Feedback may be used without restriction or compensation, but we will not intentionally identify you publicly as its source without permission.

Confidentiality

Public demonstrations and general inquiry channels are not secure channels for confidential information. Do not submit confidential material unless Magic AI Labs has agreed in writing to receive it through that channel. An existing signed nondisclosure agreement controls if it expressly covers the submitted information.

Suspension and termination

We may limit, suspend, or terminate access when reasonably necessary to protect the Services or others, investigate misuse, comply with law, address security risk, or enforce these Terms. You may stop using the Services at any time. Provisions that by their nature should survive—including ownership, disclaimers, liability limits, and dispute provisions—continue after termination.

Availability and warranties

THE PUBLIC WEBSITE, DEMONSTRATIONS, AI OUTPUT, AND PRELIMINARY MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIC AI LABS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Any warranty expressly included in a signed service agreement controls for that service. Nothing in these Terms excludes a right or obligation that cannot lawfully be excluded.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIC AI LABS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES ARISING FROM THE PUBLIC SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE PUBLIC SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNT YOU PAID MAGIC AI LABS SPECIFICALLY FOR THE PUBLIC SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT. This limit does not apply where prohibited by law or to liability that cannot lawfully be limited. A signed service agreement's liability terms control for paid services covered by that agreement.

Business-user indemnity

If you use the Services for a business, you will defend and indemnify Magic AI Labs and its owners, employees, and contractors against third-party claims, damages, and reasonable costs arising from your unlawful misuse of the Services, information you were not authorized to submit, or your material breach of these Terms, except to the extent caused by Magic AI Labs' own unlawful conduct.

Disputes and governing law

Before filing a claim, each party agrees to send a written description of the dispute and allow 30 days for a good-faith informal resolution, unless immediate relief is reasonably necessary. Except where a signed agreement or nonwaivable consumer law provides otherwise, California law governs these Terms without regard to conflict-of-law principles. Nothing here prevents either party from seeking injunctive relief for misuse of intellectual property, credentials, or systems.

General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without written permission; Magic AI Labs may assign them in connection with a reorganization, financing, or sale. These Terms, the Privacy Policy, and any signed agreement applicable to a service are the entire agreement for their subject matter. A signed agreement controls if it conflicts with these website Terms.

Changes

We may update these Terms when Services or legal requirements change. The current version will show its effective date. Changes apply prospectively when posted or otherwise communicated. Material changes to consent or data use do not silently expand an earlier permission.
